Morgan Lewis & Bockius LLP Paralegal - Corporate and Business Transactions (Hybrid) in New York, New York

Morgan, Lewis & Bockius LLP, one of the world's leading global law firms with more than 4,000 lawyers and staff in 31 offices, is seeking a Paralegal for the Corporate and Business Transactions group, reporting to the Paralegal Manager. While currently remote, this position will eventually reside in either the Boston, Philadelphia, Pittsburg, New York or Washington DC offices and will be responsible for providing assistance to attorneys with:
Preparing and filing formation and dissolution documents for corporate entities, as well as stock certificates and capitalization tables;
Corporate record maintenance for wide array of different entities and clients;
Ongoing stock option plan implementation and administration for stockholder actions;
Coordinate venture capital financing documentation;
Maintaining minute books, corporate records and stock ledgers;
Form D, "Blue Sky" and other state and federal filings. SEC filing experience desired;
Due diligence production and review using online data rooms;
Coordination of due diligence and documentation for equity financings and merger and acquisition transactions.
Post-Closing assembly of closing transcripts.

Experience/Qualifications:
A Bachelor's degree from an accredited college or university.
A minimum of three (3) years of corporate paralegal experience.
Excel, Carta and DocuSign experience strongly preferred;
Proficiency with MS Office, including Outlook, Word, and Excel is required;
Ability to handle the multiple responsibilities in a fast-paced and highly-collaborative team environment.
Highly organized and service-oriented, with strong attention to detail.
Excellent oral and written communication skills.
