Opportunity Overview

The Senior Director, Accounting and Reporting Advisory Practice (ARAP) will join a team of CPAs and Big Four alumni with experience serving private and public life science companies. This group provides advisory and execution of services for wide-ranging client needs, including audit preparation, management of transaction-related accounting complexities and laying the groundwork for initial public offerings (IPOs), special purpose acquisition corp. (SPAC) financings, reverse mergers and the sale/purchase of a business. We played a significant role in more than 20 transformative events for life science companies in 2021 alone. Additionally, members of the ARAP team handle day-to-day technical accounting and reporting matters for clients, provide domain expertise for other Danforth consultants and support the development of the practice both internally and externally.

Key Functions

  • Lead IPO, SPAC, reverse merger, business combination and diligence projects

  • Act as a subject matter expert on weightier technical topics: e.g., business combinations, revenue recognition

  • Provide CFO/VP/finance leadership of operational finance and accounting functions

  • Contribute to marketing, recruiting and policy development for Accounting and Reporting Advisory practice

Skills and Responsibilities

  • AICPA and PCAOB-level audit readiness

  • Financial statement preparation for private and for public companies

  • Preferred equity and convertible debt financings

  • Warrant accounting, derivative financial instruments

  • Equity-based compensation

  • Cap table development and maintenance; pro-forma

  • Lease accounting

  • Business combinations, asset acquisitions, in- and out-licensing

  • Revenue recognition, collaborations, joint-ventures

  • Consolidation, currency, variable interest entities (VIEs)

  • Systems implementations: general ledger, purchase-to-pay, cap table management

  • Financial and operational diligence

  • IFRS/other GAAP conversions

  • IPO/SPAC financing/reverse merger accounting and reporting

  • S-1 preparation and project management

  • Public company readiness, evaluating finance organizations, financial systems, and internal controls over financial reporting (ICFR)

  • SEC reporting, Forms 10Q, 10K et. al. Sarbanes-Oxley (SOX) compliance

  • Practice development: marketing, recruiting, training, professional development


  • 7+ years of Public Accounting

  • Bachelor’s Degree in accounting, CPA a must, MBA a plus

  • Experience with a Big 4 or other significant CPA firm

  • IFRS experience preferred

  • Experience in Life Science industry

  • Demonstrated ability to work in an early stage start-up environment

  • Creative problem-solving skills including the ability to identify, recommend and implement solutions

  • Strong interpersonal and client relationship skills
